Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the WellNuo mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and WellNuo Inc. ("we", "us", "our").

2. Description of Service

WellNuo provides a wellness monitoring service for elderly individuals, including:

• Activity pattern monitoring through environmental sensors
• Real-time alerts and notifications
• Daily, weekly, and monthly wellness reports
• Family sharing and coordination features
• AI-powered insights and analysis (Premium feature)

The App may require compatible environmental sensors (sold separately) or utilize available device sensors for monitoring functionality.

3. Eligibility

To use WellNuo, you must:

• Be at least 18 years of age, or have parental/guardian consent
• Be capable of forming a legally binding contract
• Not be prohibited from using the App under applicable laws

4. User Account

When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription and Payments

Payment Terms:

• All payments are processed through the Apple App Store
• Subscriptions automatically renew unless cancelled
• Cancel anytime through your App Store subscription settings
• No refunds for partial subscription periods
• Price changes will be notified in advance

6. Acceptable Use

You agree NOT to:

• Use the App for any illegal or unauthorized purpose
• Harass, threaten, or harm any person
• Impersonate any person or entity
• Attempt to reverse engineer, decompile, or disassemble the App
• Circumvent any security measures or access controls
• Use automated tools, bots, or scripts
• Share your account credentials with others
• Resell or redistribute the service
• Interfere with the proper functioning of the App

7. Intellectual Property

All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of WellNuo Inc. and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.

8. User Content

You retain ownership of any data you provide to the App. By using the App, you grant us a license to process, store, and analyze your data solely for the purpose of providing and improving our services.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, secure, or error-free
• Results from the App will be accurate or reliable
• Any defects in the App will be corrected

10. Limitation of Liability

• WellNuo Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim
• We are not responsible for any third-party services or integrations
• We are not liable for sensor malfunctions, connectivity issues, or notification failures

11. Indemnification

You agree to indemnify, defend, and hold harmless WellNuo Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may terminate or suspend your account and access to the App at any time, with or without cause, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended period of inactivity
• Legal or regulatory requirements

Upon termination, your right to use the App will immediately cease, and we may delete your data in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the App shall be resolved through:

1. Informal Negotiation: You agree to first attempt to resolve any dispute informally by contacting us for at least 30 days before initiating arbitration.
2. Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA).
3. Small Claims Court: Either party may bring claims in small claims court as an alternative to arbitration.

CLASS ACTION WAIVER: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Apple EULA

This App is licensed under Apple's Standard End User License Agreement (EULA). In the event of any conflict between these Terms and Apple's EULA, Apple's EULA shall prevail to the extent required by Apple.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the App or via email. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WellNuo Inc. regarding the use of the App.
